OFB Affiliate Agreement

The OFB Affiliate Program exists to reward people who genuinely help others improve their physical fitness, personal confidence, and financial position. Affiliates are expected to act with integrity, place relationships ahead of sales, and represent OFB professionally.

This Affiliate Agreement ("Agreement") is entered into between Online Fitness Bootcamp Limited ("OFB", "the Company", "we", "us") and the registered Affiliate ("Affiliate", "you").

By participating in the OFB Affiliate Program, you acknowledge that you have read, understood, and agree to these terms.

1. Eligibility

Participation in the OFB Affiliate Program requires an active OFB Pro membership.

If your OFB Pro membership becomes inactive, cancelled, suspended, or unpaid, your affiliate status and commission eligibility immediately cease.

2. Independent Contractor Status

Affiliates act as independent contractors.

Nothing in this Agreement creates an employment relationship, partnership, agency, or joint venture between OFB and the Affiliate.

Affiliates are solely responsible for:

  • Income tax obligations.
  • GST obligations (if applicable).
  • ACC levies.
  • Financial reporting.
  • Compliance with applicable laws.

3. Affiliate Activities

Affiliates may:

  • Share referral links.
  • Introduce people to OFB.
  • Share personal experiences.
  • Train alongside others.
  • Use approved OFB marketing materials.
  • Earn commissions on qualifying memberships.

Affiliates may not:

  • Represent themselves as OFB employees.
  • Provide coaching on behalf of OFB.
  • Offer medical advice.
  • Guarantee financial results.
  • Make misleading fitness claims.
  • Misrepresent OFB.

4. Commission Structure

Affiliates earn recurring commissions while both the Affiliate and the referred member remain active paid OFB Pro members.

  • Tier 1 Direct Referral: NZD $20 per month.
  • Tier 2 Indirect Referral: NZD $5 per month.

OFB reserves the right to review or adjust commission structures, payout methods, or commission rates.

5. Payment Terms

  • Commission payments are normally made on the 20th day of each month.
  • Payments reflect the previous month's confirmed active memberships.
  • Affiliates must maintain accurate payment information.
  • Affiliates must remain active OFB Pro members.

If the payment date falls on a weekend or public holiday, payment may occur on the next business day.

6. Payout Protection

  • New referrals must remain active for one full billing cycle before commissions become payable.
  • Refunds, chargebacks, failed payments, or disputed transactions void commissions for that period.
  • OFB may temporarily withhold payments where fraud or abuse is suspected.
  • Technical or banking issues may result in payments being rolled to the following payment cycle.

7. Earnings Disclaimer

OFB makes no guarantee regarding affiliate earnings, commissions, or financial outcomes.

Affiliate income depends upon:

  • Effort.
  • Consistency.
  • Relationship building.
  • Market conditions.
  • Personal circumstances.
  • Skill and experience.

Past results do not guarantee future results.

8. Standards of Conduct

Affiliates agree not to:

  • Spam individuals or groups.
  • Make false or misleading claims.
  • Promise financial results.
  • Exaggerate fitness outcomes.
  • Damage the reputation of OFB.
  • Use unethical sales methods.

Affiliates may:

  • Share their personal experiences.
  • Train with others.
  • Invite friends and family.
  • Share referral links.
  • Use approved OFB marketing materials.

9. Referral Tracking

Referrals may be tracked through:

  • Referral links.
  • Cookies.
  • User registration.
  • Subscription activation.

Tracking may fail due to:

  • Deleted cookies.
  • Privacy settings.
  • Multiple devices.
  • Competing referral links.
  • Technical limitations.

OFB's internal records and tracking systems shall be considered final.

10. Confidentiality

Affiliates may gain access to internal OFB information, systems, materials, or training content.

Affiliates agree not to disclose or distribute confidential information without written permission.

11. Termination

Affiliates may terminate participation by cancelling their OFB Pro membership.

OFB may immediately terminate an Affiliate for:

  • Fraud.
  • Misrepresentation.
  • Illegal activity.
  • Unethical conduct.
  • Breach of this Agreement.
  • Conduct damaging to OFB.

Upon termination:

  • All commissions cease.
  • Affiliate access is removed.
  • Referral tools are disabled.
  • The Affiliate must cease representing themselves as an OFB Affiliate.

12. Governing Law

This Agreement shall be governed by the laws of New Zealand.

Any disputes arising from this Agreement shall be subject to the jurisdiction of New Zealand courts.

13. Acceptance

By maintaining an active OFB Pro membership and participating in the Affiliate Program, you acknowledge that you have read, understood, and agree to this Agreement.

Schedule A – Commission Plan

  • OFB Pro Membership: NZD $60 per month.
  • Tier 1 Referral: NZD $20 per month.
  • Tier 2 Referral: NZD $5 per month.
  • Commissions remain payable only while both parties remain active paid members.
  • Payout Date: 20th of each month.
